Selling Your Business

Marketing the Business to Appropriate Buyers

Who is the right buyer for your business? How do you prepare and market your business for sale?  How do you maintain confidentiality throughout the sale process?  These are key concerns that business owners have when they decide to sell.

For middle-market companies, your target market will most likely be strategic companies and private equity groups. They may not be local but can come from virtually anywhere in the country, perhaps internationally too. Many potential strategic buyers are not actively looking to acquire a new business, though many will jump to buy when the right opportunity presents itself. Thus, the key to getting the most attractive bids for your company is by marketing the company to a large number of relevant buyer groups.

Also, the company needs to prepare adequate documentation to confidentially share with potential buyers. This Confidential Information Memorandum describes all aspects of the company, target market, competition, history, product line, the reason for sale and other information.

Most importantly you need to offer your business for sale in a manner that doesn't tip off customers, partners or employees.
